1. Terms of Service

By accessing and using Northen (“the Platform”), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use the Platform.

Northen is a software-as-a-service (SaaS) platform that provides AI-powered advisory board simulations for entrepreneurs and business founders. The Platform is intended for informational and educational purposes only.

We reserve the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated terms.

2. Disclaimer of Liability

Northen, its founders, employees, affiliates, and partners shall NOT be held liable for any direct, indirect, incidental, consequential, or special damages arising from:

• Any business decisions made based on AI-generated recommendations from the Platform.
• Financial losses, missed opportunities, or adverse outcomes resulting from reliance on the Platform's output.
• Inaccurate, incomplete, or outdated information generated by AI models.
• Business strategy, legal structuring, or financial planning based on Platform interactions.
• Any third-party services recommended through the Rolodex or Specialist Network.

Users acknowledge that all AI-generated content is probabilistic and may contain errors, hallucinations, or biased recommendations. Users are solely responsible for verifying all information with qualified professionals before acting on any advice.

3. Not Professional Advice

The content generated by Northen AI agents does not replace consultation with:

• Licensed attorneys for legal matters (incorporation, contracts, intellectual property, regulatory compliance).
• Certified accountants or financial advisors for tax, accounting, and financial planning matters.
• Investment professionals for fundraising, valuation, or securities-related decisions.
• Insurance brokers for risk management and coverage assessment.
• Human resources professionals for employment law and hiring practices.

Users should always seek independent professional counsel before making material business decisions.

4. Third-Party Services & Affiliate Relationships

The Rolodex and Specialist Network may contain links to third-party products and services. Some of these links may be affiliate links, meaning Northen may earn a commission if you make a purchase or sign up through them.

Northen does not endorse, guarantee, or warrant any third-party service. We do not control, and are not responsible for, the content, privacy policies, or practices of any third-party website or service. Users engage with third-party services entirely at their own risk.

Prices, discounts, and offers displayed in the Platform are indicative and may change without notice. Northen is not responsible for honoring offers made by third parties.

5. Data Privacy & Security

Northen takes data privacy seriously. We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws.

Data we collect: Email address, hashed password, company information you provide, board session transcripts, decisions, and task data.

Data processing: Your board session data is processed by AI language models (OpenAI, Google) to generate advisory responses. By using the Platform, you consent to this processing. We do not sell or share your data with third parties for marketing purposes.

Data retention: Your data is retained for as long as your account is active. You may request complete deletion of your data at any time via the Settings page or by contacting us directly.

Data export: You have the right to export all your data in machine-readable format at any time via Settings > Data & Privacy > Export.

6. Intellectual Property

All content, designs, branding, and software on the Platform are the intellectual property of Northen and are protected by copyright and trademark laws.

Content generated during your board sessions belongs to you. You retain full ownership of your decisions, strategies, and any outputs derived from your use of the Platform.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHEN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

In no event shall our total liability exceed the amount you paid to Northen in the twelve (12) months preceding the event giving rise to the claim.

8. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause. Upon termination, your right to use the Platform ceases immediately. You may export your data before termination.

You may terminate your account at any time via Settings > Data & Privacy > Delete Account.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable jurisdiction of Spain. Any disputes arising from these Terms shall be resolved in the courts of Barcelona, Spain.
